FeelGauge is a customer feedback and experience intelligence product of Veriflex Consulting (“Veriflex”, “we”, “us” or “our”).
These Terms of Service (“Terms”) govern access to and use of the FeelGauge website, application, dashboards, feedback collection tools, analytics, reports and related services (collectively, the “FeelGauge Services”).
By creating a FeelGauge account, subscribing to FeelGauge, accessing or using the FeelGauge Services, you agree to these Terms with Veriflex Consulting as the provider of the FeelGauge Services.
If you use FeelGauge on behalf of a company, organisation or other legal entity, you represent that you have authority to accept these Terms on its behalf.
Throughout these Terms, references to “FeelGauge” refer to the FeelGauge product and services operated by Veriflex Consulting.
1. About FeelGauge
FeelGauge is a customer feedback and experience intelligence platform designed to help businesses and organisations collect, understand and act on feedback from their customers and service users.
Features may include feedback collection, experience ratings, NPS and customer satisfaction measurement, sentiment and feedback analysis, complaints and service-recovery workflows, dashboards, reports, alerts and other customer-experience capabilities.
Available features may vary according to subscription plan, configuration and service availability.
2. Account Registration
Certain FeelGauge services require an account.
You agree to:
- provide accurate and current registration information;
- maintain the confidentiality and security of your account;
- ensure that authorised users use the platform appropriately;
- promptly update information where necessary; and
- notify FeelGauge promptly if you become aware of unauthorised access to your account.
You are responsible for activity occurring through your account except to the extent caused by FeelGauge’s own breach of its obligations.
FeelGauge may support authentication through third-party providers such as Google. Use of such services may also be subject to the provider’s applicable terms.
3. Business Accounts and Authorised Users
A business customer may authorise employees, contractors or other representatives to access its FeelGauge account.
The business customer is responsible for:
- determining who should have access;
- assigning appropriate access rights;
- removing access when it is no longer required;
- ensuring authorised users comply with these Terms; and
- ensuring its use of FeelGauge complies with applicable law.
4. Subscriptions and Fees
Some FeelGauge services are provided on a paid subscription basis.
Applicable subscription fees, setup fees, deployment costs and other charges will be stated in the relevant proposal, order form, subscription page, invoice or commercial agreement.
Unless otherwise stated:
- subscription fees relate to access to the FeelGauge platform for the agreed subscription period;
- physical deployment items such as tablets, stands, printed materials, stickers, NFC assets or other hardware may be charged separately;
- applicable taxes may be added where required by law; and
- fees already earned for services provided are generally non-refundable except where otherwise agreed or required by law.
Additional commercial terms agreed in writing with a customer will form part of the agreement between FeelGauge and that customer.
Where there is a conflict between these Terms and a signed customer-specific agreement, the customer-specific agreement will prevail to the extent of that conflict.
5. Acceptable Use
You may use FeelGauge only for lawful business purposes and in accordance with these Terms.
You must not:
- use FeelGauge for unlawful, fraudulent or deceptive activities;
- attempt to gain unauthorised access to another account, system or data;
- interfere with the security or operation of the platform;
- introduce malware or malicious code;
- reverse engineer or attempt to extract proprietary source code except where expressly permitted by law;
- use the platform to harass, discriminate against or unlawfully profile individuals;
- collect personal data without an appropriate lawful basis;
- submit information you have no right to process;
- use FeelGauge to send unlawful unsolicited communications; or
- use the service in a manner that materially harms FeelGauge, its customers, users or infrastructure.
We may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect the platform, users or third parties.
6. Customer Feedback and Personal Data
Business customers determine what feedback they wish to collect through FeelGauge and are responsible for ensuring that their collection and use of customer information complies with applicable law.
Where FeelGauge processes customer or service-user personal data on behalf of a business customer, FeelGauge will generally act as a data processor and the business customer will generally act as the data controller.
The business customer is responsible for:
- establishing an appropriate lawful basis for collecting personal data;
- providing required privacy notices to individuals;
- collecting only information reasonably necessary for legitimate purposes;
- responding appropriately to data-subject requests; and
- ensuring its employees and authorised users handle customer information appropriately.
FeelGauge will process such information in accordance with applicable data-protection requirements, our Privacy Policy and applicable contractual arrangements.
7. Customer Content
Customers retain their rights in feedback, business information, content and other data they or their customers submit to FeelGauge (“Customer Content”), subject to applicable law and third-party rights.
The customer grants FeelGauge the limited rights necessary to host, process, analyse, transmit, display and otherwise handle Customer Content for the purpose of providing, securing, supporting and improving the FeelGauge service.
FeelGauge does not acquire ownership of Customer Content merely because it is processed through the platform.
8. Analytics and Artificial Intelligence
FeelGauge may use analytical, machine-learning or artificial-intelligence technologies to assist with functions such as:
- sentiment analysis;
- feedback classification;
- identification of themes and trends;
- summarisation;
- experience insights; and
- recommended operational actions.
AI-generated or automated outputs are intended to support human judgement and may not always be complete or accurate.
Businesses remain responsible for decisions they make based on information presented through FeelGauge.
FeelGauge should not be used as the sole basis for decisions that produce significant legal or similarly significant effects on individuals unless appropriate human review and lawful safeguards are in place.
9. Service Availability and Changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.
The service may occasionally be unavailable because of:
- scheduled maintenance;
- emergency maintenance;
- infrastructure or provider outages;
- security incidents;
- internet or telecommunications failures; or
- circumstances outside our reasonable control.
We may modify or improve features from time to time. Where a material change significantly affects paid functionality, we will seek to provide reasonable notice where practicable.
10. Intellectual Property
FeelGauge and its associated software, interfaces, designs, workflows, trademarks, branding, documentation, methodologies and other proprietary materials are owned by or licensed to FeelGauge and are protected by applicable intellectual-property laws.
Except for the limited right to use the service in accordance with these Terms, no intellectual-property rights are transferred to customers or users.
11. Confidentiality
Each party may receive confidential information belonging to the other.
The receiving party will use reasonable measures to protect confidential information and will use it only for purposes related to the FeelGauge service or the parties’ commercial relationship.
This obligation does not apply to information that:
- is publicly available without breach of confidentiality;
- was lawfully known to the receiving party before disclosure;
- is lawfully received from another source without confidentiality restrictions; or
- must be disclosed by law or lawful regulatory process.
12. Third-Party Services
FeelGauge may rely on or integrate with third-party services including cloud infrastructure, authentication, communications, analytics and payment services.
We are not responsible for independent third-party services outside our reasonable control.
Where a customer elects to connect FeelGauge to a third-party service, the customer’s use of that third-party service may be governed by separate terms.
13. Suspension and Termination
A customer may stop using FeelGauge subject to its applicable subscription or commercial agreement.
FeelGauge may suspend or terminate access where reasonably necessary because of:
- material breach of these Terms;
- non-payment of amounts due;
- unlawful or abusive use;
- material security risk;
- conduct that threatens the integrity of the platform; or
- legal or regulatory requirements.
Where appropriate and reasonably practicable, we will provide notice and an opportunity to remedy a breach before termination.
Provisions that by their nature should continue after termination will survive termination.
14. Disclaimers
FeelGauge provides tools intended to assist businesses in understanding customer experience and feedback.
Feedback, ratings, sentiment classifications, analytical outputs, AI-generated summaries and recommendations should be considered alongside appropriate business judgement and other relevant information.
To the extent permitted by applicable law, FeelGauge does not warrant that:
- every customer will submit feedback;
- feedback submitted by users will always be accurate;
- analytical or AI-generated outputs will always be error-free;
- use of FeelGauge will produce any particular commercial outcome; or
- the service will be available without interruption.
Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by applicable law, FeelGauge will not be liable for indirect, incidental, special, consequential or punitive loss arising from use of the service, including loss of profits, revenue, goodwill or anticipated business opportunity.
Where liability cannot lawfully be excluded, FeelGauge’s aggregate liability arising out of the relevant paid service will, to the extent permitted by law, be limited to the fees paid by the affected customer to FeelGauge for that service during the twelve months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
16. Indemnity
To the extent permitted by law, a business customer agrees to indemnify FeelGauge against third-party claims, liabilities and reasonable costs arising directly from the customer’s unlawful use of FeelGauge, unlawful collection or processing of personal data, infringement of third-party rights or material breach of these Terms.
17. Privacy
Use of FeelGauge is subject to the FeelGauge Privacy Policy, which explains how personal data is handled in connection with our services.
18. Changes to these Terms
We may update these Terms periodically to reflect changes to our services, commercial practices or applicable law.
Updated Terms will be published on the FeelGauge website with the applicable effective or revision date.
Where changes materially affect existing paid customers, we will provide reasonable notice where appropriate.
19. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
The parties will seek in good faith to resolve disputes arising from these Terms through discussion before commencing formal proceedings.
Subject to any alternative dispute-resolution procedure agreed between FeelGauge and a business customer, disputes that cannot be resolved amicably will be subject to the jurisdiction of the competent courts of Nigeria.
[The remaining provisions of the Terms of Service previously drafted continue to apply, with Veriflex Consulting identified as the contracting/service-provider entity and FeelGauge identified as the product.]
